General Terms of Use

1. Preamble

These General Terms and Conditions of Use (hereinafter referred to as "GTC") constitute a legally binding contract between you, the user (hereinafter referred to as "the User" or "you"), and Brucite Orange Inc, a company registered in United States of America, the State of Utah under number 14524560-0142, with its registered office at 9432 North Timpanogos Cove, Cedar Hills, UT 8406 (hereinafter "Brucite Orange Inc", "we" or "us"). By accessing, using, or registering on our platform, you acknowledge that you have read, understood, and accepted these GTC in their entirety.

1.2 Definitions: In these GTC, the following terms, when capitalized, have the following meanings: "Service" refers to the IntellectSEO platform, its features, and all associated services; “Content” means any text, image, video, audio or other material generated or uploaded to the platform; “Token” means the virtual unit of value enabling access to content generation features.

2. Service Description

IntellectSEO is an AI-powered SEO content and product description generation platform accessible via the website Intellectseos.com. The Service allows Users to automatically generate SEO-optimized content using Tokens. IntellectSEO reserves the right, at its sole discretion and without prior notice, to modify, suspend, restrict, or discontinue, temporarily or permanently, all or part of the Service for maintenance, updates, security, or any other reason deemed appropriate by IntellectSEO. The User acknowledges that IntellectSEO will not be liable to the User or any third party for any modification, suspension, or discontinuance of the Service.

3. User Account

3.1 Account Creation: To access the full functionality of the Service, you must create a user account by providing accurate, complete, and up-to-date information. You must be at least 18 years old or the legal age of majority in your jurisdiction, whichever is higher, to create an account.

3.2 Account Security: You are solely responsible for maintaining the confidentiality of your login credentials (email address and password) and all activity that occurs under your account. The User agrees to immediately notify IntellectSEO of any unauthorized use of their account or any other security breach.

4. Use of the Service

4.1 Permitted Use: By using the Service, you agree to comply with all applicable laws and regulations. You are prohibited from using the Service to create, publish, transmit, or store content that is: illegal, fraudulent; defamatory, obscene; infringing the intellectual property rights of third parties; encouraging discrimination, racism, hatred, or violence; or containing malicious code.

4.2 Content Responsibility: The User is fully responsible for the Content generated through the Service. IntellectSEO does not guarantee the accuracy, relevance, quality, or legality of the generated Content. The User agrees to review and, if necessary, modify the generated Content before any use or publication. IntellectSEO expressly disclaims all liability for any direct or indirect consequences of the use of User-generated Content.

5. Tokens and Payments

5.1 Token System: Access to the Service's content generation features requires the use of Tokens. Tokens can be acquired through a recurring subscription or on a pay-per-use basis.

5.2 Pricing: IntellectSEO reserves the right to change its prices at any time, subject to thirty (30) days' notice for current subscriptions.

5.3 Non-refundable: Purchased Tokens are non-refundable, even if unused.

6. Subscriptions

6.1 Automatic Renewal: Subscriptions renew automatically at the end of each billing period. Users can disable automatic renewal at any time from their account.

6.2 Cancellation by the User: Users can cancel their subscription at any time from their account. Cancellation will take effect at the end of the current billing period.

6.3 Termination by IntellectSEO: IntellectSEO reserves the right to unilaterally terminate any subscription in the event of a breach of these Terms of Service or non-payment.

7. Intellectual Property

7.1 Ownership of Generated Content: Subject to payment of the corresponding Tokens, the User becomes the owner of the Content generated through the Service and may use it without time or territorial restrictions. The User is free to modify, distribute, publish, and commercially exploit it. However, IntellectSEO retains the right to use anonymized data relating to queries and generated Content to improve its algorithms and the quality of the Service.

7.2 Feedback and Suggestions: If the User submits comments, suggestions, or other feedback regarding the Service (“Feedback”), they grant IntellectSEO a worldwide, perpetual, irrevocable, transferable, royalty-free license to use, reproduce, modify, and exploit such Feedback in any way and for any purpose, without compensation.

8. Guarantees and liability

8.1 Disclaimer of Warranty: The Service is provided "as is" and "as available," without warranty of any kind. IntellectSEO does not warrant that the Service will be uninterrupted, secure, or error-free.

8.2 Limitation of Liability: To the fullest extent permitted by applicable law, IntellectSEO disclaims all liability for any direct, indirect, or consequential damages resulting from: (a) the use of or inability to use the Service; or (b) any Content generated through the Service. IntellectSEO's aggregate liability to the User for all claims is limited to the amount actually paid by the User to IntellectSEO during the twelve (12) months preceding the event giving rise to liability.

9. Data Protection

9.1 Processing of Personal Data: IntellectSEO collects and processes Users' personal data in accordance with its Privacy Policy.

9.2 Content Confidentiality: IntellectSEO is committed to preserving the confidentiality of User-Generated Content and will not disclose it to third parties without authorization, except where legally or judicially obligated.

10. Modification of the T&Cs

10.1 Right to Modify: IntellectSEO reserves the right to modify, supplement, or replace all or part of these Terms of Service at any time.

10.2 Notification of Modifications: IntellectSEO will notify Users of substantial modifications by email and/or a prominent notice on the Service. By continuing to use the Service after the posting of modifications, the User agrees to be bound by the modified Terms of Service.

11. Miscellaneous provisions

11.5 Notices: All notices required or permitted under these Terms of Use will be sent by email to the email address provided by the User during registration or to contact@Intellectseos.com for notices intended for IntellectSEO.

12. Applicable Law and Jurisdiction

12.1 Applicable Law: These Terms and Conditions are governed by the law of the State of Utah, United States of America.

12.2 Amicable Settlement of Disputes: In the event of a dispute, the User should first contact IntellectSEO's customer service at contact@Intellectseos.com to seek an amicable solution.

12.3 Jurisdiction: If an amicable settlement cannot be reached, the dispute will be brought before the competent courts in accordance with the rules of ordinary law in the State of Utah, United States of America.
